Tata Motors demerger: Board approves key managerial changes

Tata Motors Limited (TML) on Friday said that the National Company Law Tribunal (NCLT) has sanctioned its Composite Scheme of Arrangement involving the demerger of its commercial vehicles business and the amalgamation of its passenger vehicles vertical.

Most of the restructuring, which has been under consideration for over a year, will take effect from October 1.

The company in a stock filing informed cessation of Independent Directors including Hanne Sorensen as a Non-Executive Independent Director from the Board of the Company, effective September 30, 2025; Kosaraju Veerayya Chowdary as a Non-Executive Independent Director; and Guenter Karl Butschek as a Non-Executive Independent Director, effective October 1, 2025.

“Hanne Sorensen shall continue to be a director, inter alia, on the Board of Jaguar Land Rover Automotive Plc, the UK, a material subsidiary of the company. Kosaraju Veerayya Chowdary and Guenter Karl Butschek shall join the Board of TML Commercial Vehicles Limited – the proposed listed entity in which the commercial vehicles business of the company would be demerged,” the company said.

Five-year tenure

TML has also announced the appointment of Sudha Krishnan as an Additional, Non-Executive Independent Director of the company, for a tenure of five years commencing from October 1, 2025.

Some other key managerial personnel (KMP) include resignation of Girish Wagh as an Executive Director effective October 1, and he will now join the Board of TML Commercial Vehicles Limited – the proposed listed entity in which the Commercial Vehicles Business of the company would be demerged as an Additional Director, Managing Director and CEO as well as KMP effective October 1, 2025.

The Board has also approved appointment of Shailesh Chandra as an Additional Director, Managing Director and CEO as well as KMP of the company effective October 1, for a period of three years. Meanwhile, Chandra will continue to be the Managing Director of Tata Passenger Electric Mobility Limited, the electric vehicle entity and wholly owned subsidiary of the company.

The Board has also accepted resignation of P B Balaji as the Group Chief Financial Officer and KMP effective November 17, 2025. “As communicated earlier, Balaji shall join as the Chief Executive Officer of Jaguar Land Rover Automotive Plc, UK from November 17, 2025,” it said adding that Dhiman Gupta will be the CFO and KMP of the company from November 17.

Balaji has been also appointed as as an Additional, Non-Executive, Non-Independent Director on the Board of the company effective November 17, it added.
